Terms of Service for BiDir Business Solutions

.Membership and Service Access

BiDir Business Solutions provides a platform for businesses to host their business by signing up for a membership at a fee of KSH 2,000 for a calendar month. During this time, businesses will be able to list products and services. Membership fees are NOT REFUNDABLE.

.User Information

To access the Service, users must provide the following information:

• Business Name
• Business Email
• Unique Password

Users are solely responsible for providing accurate and up-to-date information and shall be responsible for collecting and remitting any applicable taxes from the sale of goods or services posted on the platform. BiDir doesn’t offer direct or indirect B2B or B2C payments.

.Platform Content and Listings

BiDir Business Solutions reserves the right to delete or block access to announcements posted by users without notice in the following circumstances:

• Receiving mandatory judgments from competent public authorities.
• Intellectual property infringement claims.
• Breach of user rights, legal interests, or requests from other users.
• Detection of violations of these Terms or applicable laws.

BiDir Business Solutions is authorized to remove any announcement, regardless of providing justification to the user.

.Account Creation and Security

• You may create an Account as an individual or as an authorized representative of a company.
• You may only create one Account per business.
• BiDir offers two-factor (2FA) login authentication to help maintain high account security. However, you are solely responsible for safeguarding your account credentials and are liable for any activities performed using your account.
• If you are under 18 years of age, you must have permission from a parent or legal guardian to use the Service.

.Prohibited Activities

You agree not to:

• Post misleading or deceptive information.
• Post prohibited items, including counterfeit goods, illegal services, or offensive content.
• Engage in activities that interfere with the normal operation of the platform.
• Use the platform for any unauthorized or illegal purpose.
• Promote unsolicited commercial emails, viruses, or malware.

.Compliance with Laws and Prohibited Goods/Services

Users must comply with:

• All applicable laws of the Republic of Kenya.
• These Terms of Service.
• All posted platform rules and policies.

By using BiDir Business Solutions, users agree to uphold these regulations and ensure their activities align with applicable legal and platform requirements. Promotion or sale of the following goods and services is strictly prohibited on BiDir in Kenya:

• Drugs and Medications: Narcotics, steroids, and any drugs or medications requiring a prescription from a licensed medical specialist.
• Weapons: Includes firearms, ammunition, and restricted military/police items.
• Human and Biological Materials: Human organs or any related products.
• Stolen or Illegal Property: Stolen property or pirated/illegal copies.
• Devices: Code-grabbing or lock-picking devices, and electronic equipment prohibited by law.
• Sexual Services: Promotion of sexually-oriented services.
• Financial Schemes: Loans, money transactions, Bitcoin, multi-level marketing, pyramid/matrix programs, and network marketing.
• Unregistered Products:
  • Drugs, chemicals, agrochemicals, veterinary drugs, and similar goods that are not registered with the relevant Kenyan authority.
  • Any goods or services prohibited or restricted by Kenyan legislation or relevant authorities.
  • Goods failing to meet quality standards and requirements under Kenyan law.
  • Items falsely represented as treatments, preventatives, or cures for diseases or disorders.

.User Representations and Warranties

By using the Service, you represent and warrant that:

• You have the legal capacity to agree to these Terms.
• You are above 18 years of age.
• You have provided true and accurate information in your Account.
• You will comply with all applicable laws and not use the Service for illegal purposes.

.Indemnification

You agree to indemnify and hold harmless BiDir Business Solutions and its affiliates from any claims, losses, damages, or legal actions arising from your use of the platform, your posted content, or any violation of these Terms.

.Limitation of Liability

In no event shall BiDir Business Solutions be liable for any indirect, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility of such damages.

.Intellectual Property Rights

By posting content on the platform, you retain ownership of your intellectual property. However, you grant BiDir Business Solutions a non-exclusive, worldwide, transferable, perpetual, and irrevocable license to use your content for platform operations, marketing, and other purposes.

.Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Kenya. Any dispute arising from these Terms will be resolved through arbitration in accordance with the NCIA Arbitration Rules. The language of the arbitration shall be English.

.Miscellaneous

• If any provision of these Terms is found to be invalid, the remainder shall remain in full force and effect.
• BiDir Business Solutions reserves the right to transfer or assign rights and obligations under these Terms.
• Failure to act on a breach of these Terms does not waive BiDir Business Solutions's right to enforce these Terms in the future.
